Terms of Service
1. Acceptance of Terms
This website, taskflowify.com, is operated by Taskflowify, LLC, a Texas limited liability company organized and operating in the State of Texas ("Taskflowify", "we", "us"). These Terms of Service ("Terms") govern your use of our website, your account and client dashboard, our AI automation platform and the customizations we build on it (the "Platform"), whether hosted in our cloud or installed on your own equipment, and the consulting, design, development, and support services we provide (together, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and by all applicable Texas and federal laws.
By using the Services, you represent that you are at least 18 years old and have the legal authority to enter into this agreement, for yourself or for the business you represent. If you do not agree with any part of these Terms, you may not access or use the Services.
2. Account Registration and Security
Registration Requirements
To submit a proposal or work on a project with us, you must create an account and confirm your email address. When you register, you agree to:
- Provide accurate, current, and complete information
- Keep your information up to date
- Keep your password confidential and not share your account
- Accept responsibility for all activity that occurs under your account
- Notify us promptly of any unauthorized use of your account
- Not create an account using a false identity or impersonate another person
Account Security
Passwords must be at least 12 characters, and we recommend a unique password you do not use elsewhere. You are responsible for all activity under your account. We are not liable for any loss or damage arising from your failure to protect your account information.
Suspected Compromise
You must notify us at support@taskflowify.com as soon as you learn of any unauthorized use of your account. If we suspect an account has been compromised, we may, without prior notice, suspend the account, require a password reset, and sign out all active sessions until access is secured.
3. License Grant and Restrictions
License to Use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Browse the website and read our published content
- Use your dashboard to submit proposals, share files, exchange messages, and review and sign project documents
- Use the Platform and your customizations while your subscription is active, as described in Sections 7 and 9
- Use the Services for your personal or internal business purposes, in accordance with these Terms and applicable law
Usage Restrictions
You agree NOT to:
- Copy, modify, or create derivative works of the website or dashboard
- Reverse engineer, decompile, or disassemble any part of the Services
- Rent, lease, sell, sublicense, or transfer access to the Services to third parties
- Remove or modify any proprietary notices
- Use the Services for any illegal or unauthorized purpose
- Interfere with or disrupt the Services, servers, or networks
- Attempt to gain unauthorized access to any part of the Services, including other clients' proposals, projects, or files
- Use automated systems (bots, scrapers) without our express permission
4. Acceptable Use Policy
You agree to use the Services in compliance with all applicable laws and regulations. Prohibited activities include:
- Illegal Activities: Using the Services for any unlawful purpose or in violation of any law
- Harmful Content: Uploading or sharing content that is defamatory, obscene, harassing, threatening, or that violates intellectual property rights
- Malicious Code: Uploading or transmitting viruses, malware, or any harmful code, including in proposal or project attachments
- Impersonation: Impersonating any person or entity, or falsely representing an affiliation
- Spam: Sending unsolicited communications through our contact form, proposals, or messages
- Data Mining: Harvesting or collecting information about other users without consent
- System Abuse: Attempting to overload, crash, or otherwise abuse system resources
5. Proposals, Projects, and Statements of Work
Proposals
Submitting a project proposal through your dashboard is free. We review each proposal and may accept or decline it at our discretion. A proposal is a request for our review; it is not a contract, and no work begins until a project is approved as described below.
Statement of Work
For an accepted proposal we prepare a project plan and statement of work that describes the scope, deliverables, timeline, cost, payment terms, assumptions, and acceptance criteria for that project. The statement of work you approve, together with these Terms, forms the agreement for that project. If the statement of work conflicts with these Terms, the statement of work controls for that project.
Changes and New Features
Changes to an approved scope are made through change requests. Work outside the approved scope, including new features requested after a project is completed, is priced and approved separately before it begins.
Electronic Signatures
You may approve project plans, statements of work, change requests, support agreements, and final acceptance on the website by typing your full name and confirming your agreement. You agree that this electronic signature is legally binding and has the same effect as a handwritten signature under the Texas Uniform Electronic Transactions Act and the federal E-SIGN Act. Each signature applies only to the exact version of the document shown when you sign. We keep a record of that version, your typed name, and the date, time, and network address of the signature.
Your Responsibilities
Project timelines depend on timely information, feedback, access, and approvals from you. Delays in providing these may extend the timeline and, where the statement of work says so, the cost.
6. Fees, Subscriptions, and Payment
- All fees are stated in US Dollars (USD) unless otherwise specified
- Project Plan Fee: Submitting a proposal and receiving our review are free. After you approve a project, a project plan fee of $300 is due before the project begins. It covers the project plan and delivery package.
- Project Fees: Fees for customization work and their payment schedule are set out in the statement of work you approve
- Subscriptions: Use of the Platform, in the cloud or on premise, requires an active subscription. Subscription fees, the billing period, and renewal are set out in your statement of work or subscription agreement.
- Usage Charges: Telephone minutes, text messages, and AI processing are metered services. Usage charges are billed in addition to the subscription, at the rates and on the schedule stated in your subscription agreement.
- Invoices: We invoice by email from a taskflowify.com address. We do not take card payments on this website. Payment is due as stated on each invoice.
- Late Payment: We may pause work on a project, and may suspend the Platform, while an invoice is past due
- Refunds: The $300 project plan fee is not refundable, because it pays for the project plan and delivery package work already performed. Refunds of other fees, if any, are handled as stated in the statement of work or subscription agreement. To ask about a refund, contact support@taskflowify.com.
7. The Platform: Cloud and On Premise
Deployment Options
We customize the Platform for your business and deliver it in one of two ways, as stated in your statement of work:
- Cloud: We host the Platform on our servers and keep the hosting environment secure and maintained.
- On Premise: The Platform is installed and runs on computers you own or control, similar to an installed desktop application. You are responsible for those computers, their operating systems, your network, physical security, access control, and backups.
License Keys
Each on premise installation is activated with a license key (serial number) that our server generates and assigns at installation. When the application activates and while it runs, it sends our server the license key, the application version, basic device details, and the network address, so we can verify the license and deliver updates. Each license key may be used for one installation only. You may not copy, share, transfer, or alter a license key, or attempt to bypass license verification. To move an installation to a different computer, contact support@taskflowify.com. A license key remains active only while your subscription is active. When the subscription ends or is suspended, the license key is deactivated and the application stops working.
Internet Connection and Connected Services
Both cloud and on premise installations depend on connected services provided by us and by others, including internet telephone (SIP) service for calls, text message carriers, and AI providers for speech recognition and language processing, such as OpenAI and Deepgram. An on premise installation needs a working internet connection to use these services. During a call or message, audio, transcripts, and message content are sent to these providers for processing, including when the Platform runs on premise. Their availability, changes, and outages are outside our control, and your use of them may be subject to their own usage policies, which you agree to follow.
Updates and Support
We release updates to fix problems, improve security, and keep connected services working. Support covers current versions of the Platform, and we may require an on premise installation to be updated before we provide support. Support levels and response times are set out only in a signed support agreement.
8. AI Virtual Assistants, Calls, and Text Messages
The Platform includes AI Virtual Assistants, such as a Voice Receptionist that answers calls and a Back Office Administrator that books appointments, follows up by text message and email, and manages support tickets. You are the operator of the assistants deployed for your business, and you are responsible for:
- Giving callers any notice, and obtaining any consent, that the law of your or your callers' location requires for calls answered by an automated or AI agent and for calls that are transcribed or recorded
- Sending text messages only for transactional purposes, such as appointment reminders, callback confirmations, and follow ups, to people who gave you their mobile number for that purpose, and keeping a record of that consent
- Honoring opt out requests such as STOP, UNSUBSCRIBE, CANCEL, END, or QUIT, and never messaging a person who opted out, is on the Texas No Call List, or is on the federal Do Not Call Registry
- Following the federal Telephone Consumer Protection Act, Texas telemarketing and consumer protection laws, and wireless carrier rules
- Not using the Platform for bulk marketing, promotional blasts, deceptive or misleading messages, spoofed caller identity, or any unlawful purpose
- Not entering sensitive information into the Platform, such as payment card numbers or health records, unless your statement of work says the Platform is set up for it
- Reviewing the assistants' greetings, answers, and messages before and after launch so they are accurate for your business
AI Virtual Assistants can make mistakes. They are tools that support your staff; you remain responsible for decisions and commitments made to your customers. If a carrier, regulator, or provider charges us a fee or fine, or suspends a number, because of calls or messages sent under your account, we may pass that cost to you and suspend calling or messaging until the issue is resolved.
9. Intellectual Property Rights
Our Content
The website, the dashboard, and all content, features, and functionality (including software, text, displays, images, video, and audio) are owned by Taskflowify, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Platform and Customizations
Taskflowify, LLC owns the Platform and all customizations, features, integrations, configurations, and improvements we build on it, including those built for you. You do not acquire ownership of any of them. While your subscription is active, we grant you a non-exclusive, non-transferable license to use the Platform and your customizations for your internal business purposes, under these Terms and your statement of work.
Your Data
You own your data, including your business information, customer records, call transcripts and recordings, messages, and files you submit or create through the Services ("Client Content"). You grant us a non-exclusive, royalty-free license to use, store, and process Client Content only as needed to provide the Services, including sending it to the connected services described in Section 7. Files you upload to your dashboard are stored privately and are available only to you, to us, and to accounts you choose to share a project with.
Backups and Downloads
You are responsible for managing your data, including making backups and downloading copies you want to keep. For on premise installations, your data is stored on your equipment, and its backups, encryption, and security are your responsibility. For cloud installations, you can download your data while your account is active and during the period described in Section 14.
Confidentiality
We treat the business information you share with us as confidential and use it only to evaluate and deliver your project, except where disclosure is required by law.
10. Service Availability
We strive to keep the website and dashboard available and reliable. However, we do not guarantee that:
- The Services will be uninterrupted, timely, secure, or error free
- All features will be available at all times
- Any errors in the Services will be corrected
We may modify, suspend, or discontinue any part of the website or dashboard at any time, with or without notice, for maintenance, upgrades, or other reasons. Support levels and response times for solutions we build are set out only in a signed support agreement.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Taskflowify, LLC shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, including data lost on equipment you control or data not downloaded within the period described in Section 14
- Our total liability for any claims arising from or relating to these Terms or the Services shall not exceed the amount you paid us in the 12 months before the claim
- We are not liable for damages arising from unauthorized access to your account, interruptions or errors in the Services, third party services, or your misuse of the Services or the Platform
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.
12. Warranty Disclaimer
EXCEPT AS EXPRESSLY STATED IN A SIGNED STATEMENT OF WORK OR SUPPORT AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Services will meet your requirements or be uninterrupted, timely, secure, or error free
- Warranties regarding the accuracy, reliability, or quality of any content, including blog articles and answers produced by AI Virtual Assistants
13. Indemnification
You agree to indemnify, defend, and hold harmless Taskflowify, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, fines, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Services

- The security of on premise installations and the equipment and networks you control
14. Termination
Termination by You
You may close your account at any time by contacting support@taskflowify.com. Closing your account does not cancel amounts already owed for approved work or for the current subscription period. Ending a project in progress is handled as stated in its statement of work.
Termination by Us
We may suspend or close your account, without prior notice, for:
- Violation of these Terms or our Acceptable Use Policy
- Fraudulent, illegal, or abusive activity
- Non-payment of fees
- Your request
Effect of Termination
When your subscription ends or becomes inactive, your license to the Platform ends and every license key on your account is deactivated. For cloud installations, you have 30 days after your account becomes inactive to download your data. After those 30 days, your data is permanently deleted and cannot be recovered. For on premise installations, the application stops working, and the data stored on your equipment remains yours and under your control. We may keep records we are required to keep by law or that document a signed agreement, such as signed project documents and invoices. Provisions of these Terms that by their nature should survive termination shall survive, including payment obligations, ownership, warranty disclaimers, indemnity, and limitations of liability.
15. Dispute Resolution and Arbitration
Informal Resolution
Before filing a claim, you agree to contact us at support@taskflowify.com to try to resolve the dispute informally.

Any legal action or proceeding arising under these Terms that is not subject to arbitration will be brought exclusively in the federal or state courts located in Harris County, Texas, and you consent to the personal jurisdiction and venue of those courts. This choice of law and venue applies regardless of where you access or use the Services.

18. Changes to Terms
We may modify these Terms at any time. We will post the new Terms on this page with an updated "Last Updated" date, and for material changes we may also notify you by email. If you do not agree, you must stop using the Services.
